End User License Agreement (EULA)
1. License Grant
dBio grants you a limited, non-exclusive, non-transferable, and revocable license to use the Software for personal or
commercial use in accordance with this EULA and the accompanying Terms of Service.
2. Ownership and Intellectual Property
The Software and all intellectual property rights therein-including but not limited to source code, AI algorithms, design,
content, and graphics-are owned by dBio or its licensors. This Agreement does not transfer to you any ownership rights.
All rights not expressly granted are reserved by dBio.
3. License Restrictions
You agree not to:
- Modify, adapt, translate, or create derivative works of the Software;
- Reverse engineer, decompile, disassemble, or attempt to extract source code;
- Rent, lease, lend, sublicense, or distribute the Software to any third party;
- Use the Software in any unlawful or unauthorized manner;
- Interfere with or disrupt the integrity or performance of the Software or its related systems.
4. User Obligations
You agree to:
- Use the Software in compliance with all applicable laws and regulations;
- Not infringe upon the intellectual property rights of others through the use of the Software;
- Maintain the confidentiality of any access credentials or keys provided for using the Software.
5. Updates and Modifications
dBio may, from time to time, provide updates or modifications to the Software, which may be installed automatically.
These updates may be required for continued use of the Software and are subject to this Agreement unless
accompanied by a separate license.
6. Disclaimers
The Software is provided 'as is' and 'as available' without warranties of any kind, express or implied. dBio disclaims all
warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not
warrant that the Software will be uninterrupted, secure, or error-free.
7. Limitation of Liability
To the fullest extent permitted by law, dBio shall not be liable for any indirect, incidental, special, consequential, or
punitive damages-including but not limited to loss of profits, data, or goodwill-arising from or related to your use or
inability to use the Software, even if advised of the possibility of such damages.
8. Indemnification
You agree to indemnify and hold harmless dBio and its affiliates, officers, directors, employees, and agents from and
against any claims, losses, liabilities, damages, and expenses (including legal fees) arising from your use of the
Software or breach of this Agreement.
9. Termination
This Agreement is effective until terminated. dBio may terminate this license at any time for violation of this EULA or the
Terms of Service. Upon termination, you must cease all use of the Software and delete all copies.
10. Governing Law
This Agreement shall be governed by the laws of the jurisdiction in which dBio is established, without regard to conflict
of law principles. Disputes arising under this Agreement shall be subject to the exclusive jurisdiction of courts in that
jurisdiction.
